NEW YORK, Feb 9 — German automotive giant Volkswagen is looking to gain a bigger foothold in ASEAN and is now in talks with local carmaker Proton for a possible manufacturing tie-up, a Bloomberg reported today quoting a source.

According to the report, Volkswagen’s renewed interest stems from the recent takeover of the national carmaker by Tan Sri Syed Mokhtar Albukhary’s DRB-HICOM last month.

Volkswagen already has an existing relationship with DRB-HICOM, having sealed an assembly deal for the Passat executive saloon here for re-export in 2010.

The unnamed source informed Bloomberg that the Wolfsburg firm is sending a team of senior officials to rate Proton’s existing assembly facilities for suitability as a production base from which the German carmaker will supply its ASEAN needs.

Proton has previously said that its Tanjung Malim plant has a theoretical million-car capacity.

Volkswagen has been expanding its global production aggressively, with ambitions of unseating US-based GM as the world’s largest carmaker. GM resumed top spot last year after a tsunami and earthquake in Japan crippled Toyota’s production line, forcing the Japanese firm to cede the position by default.

Proton and Volkswagen had previously been on the cusp of entering a technical and commercial partnership in 2007, but was forced to abandon the deal after a protracted year-long negotiation due to political concerns.

The ailing Malaysian carmaker was then said to be in need of a partner to help develop and bear the cost of new models needed to grow the company’s presence from beyond Malaysian shores and a select number of export destinations.

Despite Volkswagen meeting both criteria, Proton unexpectedly announced that it would go it alone.

VW EYES DEAL WITH PROTON FOR REGIONAL GROWTH.

KUALA LUMPUR Feb 3 — German car maker Volkswagen, VW is in talks with DRB-Hicom to take over some manufacturing capacity at Proton’s modern but underused plant in Tanjung Malim Perak and make Malaysia its regional production hub.

In return it would help the local car manufacturer which recently bought a controlling stake in Proton Holdings Bhd Proton make the brand more globally competitive through its engineering network and experience in emerging fast-growing markets such as China and Brazil according to the Wall Street Journal (WSJ).

The international daily reported yesterday that several high-ranking VW executives from Germany had travelled here to talk directly with DRB-Hicom on how the two car makers could expand their business relationship.

“Volkswagen is constantly looking for growth opportunities worldwide ” WSJ quoted a VW spokesman as saying No decision had been taken on its potential regional growth here he added.

DRB-Hicom group managing director Datuk Seri Mohamad Khamil Jamil was last month reported as saying that the company was in “exploratory talks” with several partners for a tie-in involving Proton.

His comments came after Khazanah Nasional announced it was selling its 43 per cent share in the national car maker to DRB-Hicom for about RM1.3 billion.

VW is the world’s second-largest car maker after the US-based General Motors, and has been in talks with Malaysian tycoon Tan Sri Mokhtar al-Bukhary’s motor group for several years, but their proposals never really took off, the paper said.

WSJ noted a 2010 agreement between VW and DRB-Hicom to assemble cars in Malaysia but added that DRB-Hicom also assembled and distributed vehicles for Daimler AG’s Mercedes-Benz and Japanese-owned motors Honda Isuzu and Suzuki.

Proton, the newspaper said had lost its dominant control in Malaysia lately owing to increasing competition at home

It further noted that Malaysia had lowered some import barriers mandated by a Southeast Asian free-trade deal paving the way for foreign manufacturers to enter one of the region’s largest car markets.

Khazanah Nasional Bhd’s move to sell its stake in Proton Holdings Bhd to DRB-Hicom is a practical approach as the national auto maker will still remain Malaysian-owned yet can get access to global partners, says Frost & Sullivan.

KHAZANAH SELLS PROTON SHARES TO DRB-HICOM

In a statement, Partner & Head of the Automotive & Transportation Practice for Asia Pacific, Kavan Mukhtyar, said to be competitive, Proton needs economies of scale, high levels of capacity utilisation and access to technology and markets.

“DRB-Hicom can leverage its global distribution and assembling alliances to achieve this.

“It could potentially do contract assembling for other global partners in Malaysia and increase capacity utilisation of Proton’s assembling units. This may open assembling opportunities not just in Malaysia but the regional markets.

“Proton may also potentially get access to other developing markets through the global partners,” he said.

Mukhtyar said if Proton turns private, the automotive market will gain the most as it will be further liberalised in the medium term.

He said if managed correctly, the national auto maker could unlock its full potential in the regional automotive market.

“Liberalisation will also attract more interest in the Malaysian market from global automotive majors. This will enable Malaysia to attract further investments in the automotive sector.

“In the medium to longer term, vehicle prices in the mass market segment will go down. This will expand the market potential and eventually benefit the consumers,” he said.

He said a privately-owned entity that is independent of the government and the public will have much greater flexibility in making difficult decisions based on business rationale.

Turning Proton private will also enable the DRB-Hicom group to streamline its own automotive assets in the context of Proton being part of the group, he added

Khazanah Nasional Bhd has announced that it will divest its 42.74 per cent stake in Proton Holdings Bhd to DRB-Hicom Bhd via a conditional sale with a price consideration of RM5.50 per share or RM1.291 billion.   In a statement today, Khazanah said the decision was made following due deliberation and detailed evaluation of various proposals to ensure that due process was observed, proper financial value was received and that the new shareholder would be able to bring the national auto maker to the next level of strategic growth in line with the aspirations of the industrial development of the national automotive sector.   The divestment is still subject to, among others, the approval of the shareholders of DRB-Hicom.

“Upon completion of the sale and purchase agreement, DRB-Hicom will be obliged to undertake a mandatory general offer on the remaining Proton shares,” the government’s investment arm said.   Khazanah managing director Tan Sri Azman Mokhtar said pursuant to a thorough assessment of its proposal, which offered a defined and executable business strategy, DRB-Hicom was identified as the appropriate party to acquire the interest in Proton.   “DRB-Hicom’s proposal also demonstrated the company’s extensive involvement in the automotive sector and its network of strategic partnerships, both local and international.   “DRB-Hicom’s proposed strategy and business plan provides an effective platform to enhance Proton’s sustainability and meet its long-term growth needs.

“It also submitted an offer price that was acceptable to Khazanah,” he said.   The announcement by the government’s investment arm answers a long-standing question on which party will acquire the substantial stake in the national auto maker to drive the company to greater success.   For the past months, many parties have directly or indirectly declared interest to acquire a stake in Proton.   Other than DRB-Hicom, Proton Chairman Datuk Seri Mohd Nadzmi Salleh has also come forward to declare his interest in the shares.   Trading in the shares of Proton and conglomerate DRB-Hicom Bhd were suspended from 9am to 5pm today pending an announcement.   Proton shares closed at RM5.18 on Friday while DRB-Hicom at RM2.17.   Meanwhile in a filing to Bursa Malaysia, DRB-Hicom which is linked to tycoon Tan Sri Syed Mokhtar al-Bukhary, said the proposed acquisition was expected to create business synergies and opportunities for DRB-Hicom group and Proton to augment the localisation and local vendor programmes.   It added that DRB-Hicom would maintain its intention and interest to safeguard the national car company while at the same time encourage, facilitate, grow and enhance Malaysia’s national automotive industry, hence making Malaysia a preferred automotive hub capable of rivalling its neighbours.   “DRB-Hicom Group is one of the major players in the automotive industry in Malaysia, being involved in the whole integrated chain of the automotive ecosystem such as manufacturing and supply of automotive components, assembly, distribution and sales of motorcycles and commercial vehicles as well as the distribution and sales of passenger cars.   “The proposed MGO (mandatory general offer) provides an opportunity for DRB-Hicom to further increase its shareholding in Proton after the acquisition, thereby resulting in Proton becoming a subsidiary of DRB-HICOM in the event that the proposed MGO is successful,” the company said.   DRB-Hicom said the proposals WEre not expected to have any effect on the earnings and earnings per share of DRB-Hicom Group for the financial year ending March 31, 2012 since the proposals were only expected to be completed in the second quarter of 2012.   It added that the proposals were expected to contribute positively to the future earnings of the group since Proton was already income-generating.

INVESTORS URGE PROTON TO SELL LOTUS

According to a recent Bloomberg report, the Malaysian government-owned Proton Holdings Bhd may sell its stake in Lotus Group International.Lotus has been in the hands of Malaysia’s state-owned Proton since 1996 and during that time has yet to turn a profit.State-owned Khazanah Nasional Bhd., which owns a 43 percent stake in Proton, has confirmed that it has received offers for its share in Proton and speculation that a sale may be coming has seen the stock price rise nearly 50 percent this month.If Proton were to land in private hands, it’s almost certain that all or part of the Lotus group will be sold.Read the full news by Paul Lienert from Insideline below.

PROTON URGED TO SELL LOTUS

KUALA LUMPUR, Malaysia — Asian investors are urging Malaysia’s state-controlled Proton to sell money-losing Group Lotus. Among the prospective purchasers, according to local media reports, is China’s Shanghai Auto, which owns MG Rover.

Proton, which was established in 1983 as Malaysia’s “national car company,” bought Lotus in 1996 and “has yet to make a profit” on the tiny British sports-car and engineering firm, according to the U.K.’s Daily Mail. The losses are “likely to continue to at least 2014,” the paper added.

Proton itself is in the early stages of separating from government control. A majority interest is expected to be sold in the coming year to one of Malaysia’s larger conglomerates, possibly local automaker DRB-Hicom.

Meanwhile, Proton investors are becoming more vocal in calling for the sale of Lotus, which previously was owned by Italian industrialist Romano Artioli, who purchased the company from General Motors in 1993 and once envisioned Lotus as the perfect fit for his resurrected Bugatti (control of which subsequently shifted to Volkswagen).

In an interview with Bloomberg, Lotus CEO Dany Bahar said he was confident that Lotus could turn a profit by 2014: “The only thing we can do is show the current owners, or the new owners, that we are absolutely in line with the business plan that we have presented. Without the funding support and the guarantees given by the Proton group, we would not survive, end of story.”

Bloomberg quoted one Malaysian investor in Proton as saying, “Proton and Lotus are not a good fit. They are in different market segments, both in terms of geography and product.”

A Malaysian investment analyst added, “Proton is better off without Lotus. There are no product synergies.”

Facts:

Proton stake will be taken by either DRB-Hicom or Naza from Khazanah Nasional Bhd. Proton needs additional financing for them to extend their business and new strategies to penetrate global market. DRB-Hicom seems to be the winner for the bid to take Proton’s stake and we hope it is not Naza due to Naza’s track record of handling customers in this business is pretty bad. KHAZANAH TO SELL STAKE IN PROTON HOLDINGS BHD

Proton Holdings Bhd’s adviser, Tun Mahathir Mohamad said he would like to see the company with the biggest amount of money to buy the stake that Khazanah Nasional Bhd plans to sell.

“At the moment, Proton cannot make progress, introduce new vehicles and all that, because of shortage of funds,” he said at a press conference after officiating the launch of Sahara Run Gold Dinar here today.

Mahathir said that Khazanah should make a decision because the shares belonged to the company.

“I heard it (Khazanah) wants to sell but has not made an announcement. It can be good, depends on who is taking over and how much they are paying,” he added.

Mahathir’s worry is that if the price of the shares are too high, turning around the company may become difficult.

“Like everything else, if the capital cost is very high, it’s very difficult to make a profit,” he said.

Mahathir said his concern was for Proton to be well managed and be a successful company, adding that he will not “make any money from that.”

He also said that the buyer of the stake will have to make a general offer (GO) if it buys more than 30 per cent equity interest.

“I understand that Khazanah has 42 per cent to sell, so whether DRB-Hicom or whoever, the buyer has to make a GO for the rest of the shares,” he said.

Asked his opinion on a GO for Proton, he said that he was “not okay with it”, adding that it was not because the buyer would be taking Proton away but because the cost will be very high and that would make turning it around very difficult.

“The buyer will have to inject more money into Proton, maybe another RM2 billion more,” he explained.

Therefore, the company that buys the stake must be financially strong and know how to manage or it may result in the company losing and that will hurt Proton.

“I don’t want Proton to be hurt, I don’t care if others are hurt, but not Proton,” he added.

Proton Holdings Bhd said today Khazanah Nasional will make the necessary disclosure at the appropriate time pertaining to the sale of its stake in Proton to DRB-Hicom Bhd.

In an announcement to Bursa Malaysia today, Proton said it was informed this by Khazanah after making due enquiry with its major shareholder following news reports that Khazanah was selling its 42.7 per cent stake in Proton to DRB-Hicom.

“Khazanah Nasional informed that in its normal course of business, it regularly receives proposals, enquiries and expressions of interest in relation to its various investments and companies where it has interest in, including Proton.

“We wish to reiterate that in the meantime, business is as usual at Proton,” the national carmaker said.

 Conglomerate, DRB- Hicom Bhd, is likely to win the bid for Khazanah Nasional Bhd’s 42.7 per cent stake in Proton Holdings Bhd, given its sound financial and management capabilities, Proton adviser, Tun Dr Mahathir Mohamad, said Monday.

“DRB Hicom is quite well run. They also produce cars for Suzuki, Mercedes and Volkswagen. This company also belongs to the Al-Bukhary Group, which has a lot of other businesses, including port operations.

“They seem to be able to do business,” the former prime minister said in an interview with Bernama and Bloomberg.

Besides DRB-Hicom, Proton’s major shareholder, Khazanah Nasional, had approached Naza Group of Companies, Sime Darby Bhd and several other local companies to buy the stake, he said.

Sime Darby rejected the offer, said Dr Mahathir, who is also Proton founder.

Dr Mahathir said Naza has come up with a proposal and appears to be interested.

Dr Mahathir said he was not backing any company and it was up to Khazanah, the government’s investment arm, to decide (on the successful bidder).

“The buyer must have the capacity to finance the turnaround of Proton’s finances. Proton has financial problems like other car companies. If they can’t, it will be bad for Proton,” he said.

At 4.30pm, Proton’s shares gained 21 sen to RM4.15, but DRB-Hicom lost two sen to RM2.10.

Dr Mahathir hoped Khazanah would sell its stake at a reasonable price.

“Proton needs financing. So, it must have some people who can inject money into Proton. If the price is too high, it will become difficult for the investors to turn the company around,” he said.

Dr Mahathir said Khazanah has no plans to sell its stake to foreign companies as Proton would lose its identity (as Malaysia’s national car), but the company is currently negotiating with General Motors Company for a potential car assembly.

“Proton needs to remain as the national car and strengthen its engineering capability,” he said.

Partnering with global car manufacturers was not the only solution to improve technology, he said.

“There are many other ways to acquire technology. Many established car manufacturers do outsourcing for design,” he added.
